Mezzanine capital is “sandwiched” in between (less risky) senior bank debt and (higher risk) equity on a balance sheet with both debt and equity features. It’s a great solution for growth-oriented companies that don’t want more dilution or to give up control to equity sources. It can facilitate a wide range of transactions including recapitalizations, management buyouts, or acquisitions. In a tight credit environment, mezzanine capital can decrease leverage and thereby allow a bank to get a deal approved.
This interactive Zoom meeting will address the pros and cons of raising mezzanine capital from the perspective of both the company and the banker. Commentary on the current environment will also be included. The speaker will be Tom Wooters, Managing Director of MB Capital, an affiliate of BDC Capital, who invests mezzanine capital from $1 million to $7 million in companies that require additional capital outside of conventional debt or equity financing channels.
There will be ample time for questions, as well as a networking session at the end of the Q&A period.

Tom Wooters is the managing Director of Mezzanine Finance for BDC Capital and has raised and managed the 2 most recent of BDC’s 5 mezzanine funds. The current active fund has $50 million in capital available for commitments in the $1 million to $7 million range for companies located in the Northeast United States.
Prior to joining BDC Capital in 2015, Mr. Wooters was the Investment Manager at SEED Venture Finance (“SVF”) where he was primarily responsible for the formation, management and investment operations of SEED Ventures LP, the investment fund managed by SVF. Tom was a founding partner at Argo Global Capital, a communications focused venture capital firm. He worked at Advent International, a large Boston-based international private equity firm and at Cowen & Company (SG Cowen) in the firm’s Technology Investment Banking Group. Mr. Wooters holds a B.S. in Business Finance from Lehigh University.

Carol Cedrone Brennan is the Director of Business Development for BDC Capital. She is responsible for keeping the BDC Capital name before the business, banking, and investment communities. Her primary focus is on BDC Capital’s asset-based lending, term debt, and mezzanine financing throughout the six New England states, as well as the Massachusetts Recycling Loan Fund and the Rhode Island Capital Access Program. Carol is also a board member of the New England Chapter of the Risk Management Association (RMA).
Carol has been with BDC Capital since January of 1998. She earned a B.A. in finance from the University of Massachusetts at Amherst and a master’s degree in management from the MIT Sloan School of Management.
